VERTES — End User License Agreement (DRAFT — review with a lawyer before sale)

This End User License Agreement ("Agreement") is between you ("User") and Alexandru-Nicolae Stoica

("Licensor") and governs your use of the VERTES software ("Software").

By installing or using the Software you agree to this Agreement.

1. License grant

Upon purchase you receive a personal, non-exclusive, non-transferable license to install and use

the Software on one (1) device you own, activated with your license key. This is a

license, not a sale: the Software and all its code remain the property of the Licensor.

2. What you may NOT do

• Copy, resell, rent, sublicense or redistribute the Software or your license key.
• Reverse engineer, decompile or create derivative works of the Software, except where law permits.
• Remove copyright, license or attribution notices.

3. Your content and your accounts

• The Software processes video files locally on your device. Your footage is not uploaded to

the Licensor and the Licensor has no access to it.

• You are solely responsible for the content you process and publish: you confirm you own the

rights to the source footage, and that your uploads comply with the terms of service of the

platforms you publish to (including YouTube). Downloading third-party content you have no rights

to is your responsibility, not the Licensor's.

• YouTube publishing uses your own Google/YouTube account and credentials, held on your device.

4. Optional third-party AI services

The Software can optionally use your own Anthropic (Claude) API key. Usage of that service is

billed by Anthropic to you, under Anthropic's terms. Text data you choose to route to a cloud AI

provider is transmitted to that provider; local-only mode keeps all processing on your device.

5. Third-party components

The Software includes or downloads third-party open-source components listed in

`THIRD-PARTY-LICENSES.txt`, each under its own license (including FFmpeg under GPL/LGPL — source

available at https://ffmpeg.org). AI models are downloaded under their own licenses; this product

is "Built with Llama".

6. Requirements & no guarantee of results

The Software requires a Windows PC with a compatible NVIDIA GPU and an internet connection for

setup. The Licensor does not guarantee channel growth, views, revenue or any specific outcome.

7. Refunds

8. Disclaimer of warranty & limitation of liability

THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY

LAW, THE LICENSOR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL OR CONSEQUENTIAL DAMAGES ARISING

FROM THE USE OF THE SOFTWARE. THE LICENSOR'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID

FOR THE LICENSE.

9. Termination

This license terminates automatically if you breach this Agreement. Upon termination you must

delete all copies of the Software.

10. Governing law
